Control.

If DLT removes processing steps, who certifies trust?

ThenewB drawing #32, “Control”. Left, less manual processing. Right, more need for control: integrity and reconciliation. Centre, DLT and a control layer, captioned: value shifts here.

In ten seconds

Clearstream receives CSSF authorisation to act as a control agent under Luxembourg’s Blockchain Law IV, for the issuance of tokenised fund shares.

The trigger

On 28 October 2026, Clearstream announced CSSF authorisation to act as a control agent under Blockchain Law IV. The service is meant to let asset managers issue tokenised fund shares on a DLT platform, subject to the completion of CSSF processes. Clearstream is not the first: Investre obtained the first control agent approval in July 2025.

The dominant reading

The common reading is about efficiency. A shared register replaces manual processing chains, reconciliations and intermediaries. Fewer steps, lower costs.

The tension

A distributed ledger does not remove the need for trust. It moves it. Someone has to guarantee that the register reflects actual positions, and answer for it to the regulator.

The analysis

Adopted in December 2024, Blockchain Law IV created the control agent role as an alternative to the central account keeper for dematerialised securities issued on DLT. It is a control function before it is a technical one.

For an asset manager or a fund service provider, the operational question changes. How do you prove the integrity of a register you do not hold alone?

What it changes

  • Reconciliation controls move from the back office to the core of the model.
  • Responsibilities between the manager, the control agent and distributors must be written down before launch.
  • For a group subsidiary, the local model has to be reconciled with the group’s technology choices.

Action points

  1. 01Map the controls that disappear with DLT, and the ones that must be created.
  2. 02Decide who certifies the integrity of the register, and on what evidence.
  3. 03Involve compliance and internal audit from the design of the pilot.
